Peter is correct.  Also have the counsel write a service satisfaction
clause into the contract to ensure that permanent out is "for reason"
other than dissatisfaction.

Finally, there is a draft "outsource storage vendor" review and
checklist that has taken many hours of some fine individuals.

First of all work with one of your inhouse counsel or someone from
your supply chain group aka purchasing. Never go into negotiations
with a vendor by yourself, let the professionals do the negotiating.
Sit, listen and learn. Tell your folks what you want.

Now that said remember that when it comes to contracts all things are
negotiable. Ask what that fee covers and why? Does that fee disappear
after x months of the console being in place? Will that fee be waived
if the console has been in situ for over X months?
