There is a book titled "Records Management in the Legal Environment - A Handbook of Practice and Procedure" by Jean Barr , CRM; Beth Chiaiese, CRM; and Lee R. Nemchek, CRM which you would likely benefit from if you are going to spend time developing policy/procedure for your legal department (it's my bible!).  It discusses engagement letters and provides a sample letter in the Appendix.  Granted, a lot of the book is geared toward law firms, however it will be extremely easy to imagine how you can use the material in a corporate setting.
