Donna,

The fact that minutes may be approved at a later date, even the date of the
next meeting, says nothing regarding how the minutes should be filed. This
is confusing *when *the minutes are filed with *how *they are
filed. Depending on your corporate practices, it *might* make sense to file
the previous meeting's minutes with the next meeting's file, or it might
not.  Like someone said, there probably is no "best practice" on this issue.

Regarding the Board's bylaws, if they contain an explicit statement that
minutes should be filed in the file of the meeting in which they are
approved, they should be so filed.  Otherwise, you should be free to file
them with the file of the meeting that produced the minutes.

 Since your attorney is apparently unable or unwilling to provide you with a
rational response to your rational query (not uncommon), I think you need to
run this issue by your CIO, or other management personnel for resolution.
