Subject: [RM] Articles of Incorporation

I have been looking into the retention of bylaws, charters and articles of
incorporation. I could not find any law or regulation that specifically
states the length of time these documents should be retained. From a
business standpoint and just plain common sense I understand that they
should be retained indefinitely to document the existence of a business. I
was wondering if anyone on the list knows of any law or regulation
specifically stating charters, articles of incorporation and bylaws must be
retained permanently? The closest I have come is 26 USC Section 6001. It
does not come out and say these specific documents must be kept indefinitely
but suggests records of this type should be kept on a permanent basis. I
also found in "The Comments of ARMA International Regarding the Record
Retention Proposal of the Federal Housing Finance Agency" ARMA's suggestion
that historical records, including articles of incorporation, bylaws, and
charters, be kept for the life of the organization. Any help provided by the
list will be greatly appreciated. Thank you.
