ARMA has four guidelines that will help you. Each one addresses the specific
problem records managers and archivists have with outsourcing records and
the concomitant contractual problems. Each one also builds on the previous
guidelines. I strongly suggest you get all four and work your way forward
because the first one, for Offsite records has the most checklists and
contractual issues. In order of appearance they are:

2008-Guideline for Outsourcing Electronic Records Storage and Disposition
2009-Website Records Management
2010-Guideline for Outsourcing Records Storage to the Cloud
