I have been involved in such a separation two times. You cannot accomplish it without the two things you mentioned:

1. Detailed inventory of the records in storage.
2. Agreement betweeen the two companies on which records belong to which company.

Does anyone have experience with the handling of archived records when a
company has spun off?   Did company identify and take all boxes of
records with them, enter into separation agreement to have access when
needed?
