Check 17CFR270.31a-2.  I looked at citations from RRSs I have worked on and found this reference. Here is part of the code:

Preserve for a period not less than six years from the end of 
the fiscal year in which any transactions occurred, the first two years 
in an easily accessible place, all books and records required to be made 
pursuant to paragraphs (5) through (12) or Sec. 270.31a-1(b) and all 
vouchers, memoranda, correspondence, checkbooks, bank statements, 
cancelled checks, cash reconciliations, cancelled stock certificates, 
and all schedules evidencing and supporting each computation of net 
asset value of the investment company shares, and other documents 
required to be maintained by Sec. 270.31a-1(a) and not enumerated in 
Sec. 270.31a-1(b)

Subject: Cancelled Stock Certificate Retention


I would like the advice of the listserv on the retention of cancelled 
stock certificates for a public company. I have not found any rule or 
regulation that is specific about their retention.  There are various 
opinions in our company from 7 years to permanent.  What have others 
determined to be sufficient retention?  Keep in mind these are CANCELLED 
and are not the same as any stockholder listing.
