I would ask, "Given the tremendous liability to the officers, board 
members and even the audit team, created by recent federal court 
rulings, what changes in direction should those of us in records 
management area expect with regard to protecting and managing mission 
critical corporate records?  Or will status quo be the guide in the 
coming year?

I don't think this is too harsh and it makes the officers aware that 
you are on top of changes in the industry.  If he or she asks, "What 
regulations are you referring to?"  Respond  "I speak of the extensions 
in liability for the management team created by Rule 26 and court rules 
on Electronically Stored Information (commonly referred to as ESI) as 
focused directives extending the range of Sarbanes Oxley?"


My guess is the reply will be  "Let talk about this later in more 
detail."  So do your homework as you will soon be meeting with the CEO 
and the auditors in a meeting that will advance your career.  If you go 
in unprepared then the opposite could occur.

I would be prepared with an outline of how your company does things now 
and the problems that could create under these new rules  and a 
direction that could be charted that could eliminate the most grievous 
problems.  Thus insulating the officers more precisely.

Have some simple steps and Pat has already mentioned this.
