I dealt with something similar with a DOE hazardous waste cleanup site. 
The original company that generated the waste transformed or changed in 
some legal manner and was ultimately not held liable for the cleanup after 
generating operations ceased.  I don't recollect all the details of the 
dissolution. Liability for past practices is an interesting issue and in 
this case was mostly passed on to the taxpayer.
