If you want a clear high-level definition how about:

"Ensuring the organisation is doing the right things, in the right way, for
the right people in a timely, inclusive, open, honest and accountable
manner."

In the past I've also tried to find formal dictionary definitions, without
success.  The reason is that although the word "governance" dates back over
600 years, our current use of it in business is new.  Really, to my mind, it
means nothing more than "good management", in much the same way as
"methodology" means no more than "method".
