Andrea asked:  What is the legal department's reasoning behind wanting 
them filed by the date they were approved?

The Legal Dept just might be applying the BoD's own bylaws and governance 
rules.  For example, there's likely a bylaw which specifies that a meeting 
minute cannot be entered into the Minutes Books until it's approved via 
the appropriate governance process.

Just my thoughts based on experience

I have to agree with you, but it appears our Legal department is adamant
that they be filed by the approved meeting date.  I was hoping to resolve
this by providing some documented best practices.

Maybe I'm just too outside of the box, but wouldn't you search for the
minutes by the date of the meeting?  That's how I look for them.

Can anyone assist with a filing issue.  Our corporate secretary would

to file approved meeting minutes by the date of the meeting while our
legal
department would like to have the approved meeting minutes filed by the
date of meeting where the minutes were approved.

Are there any standards/best practices?
