We also have what we call a Records Management Advisory Team (RMAT), and in response to your questions:

Does the group have a charter?
Yes.

Who are the members?
We have RMAT members representing the Legal, HR, IT, Finance, Technical Services (Engineering & Operations), Audit, and Compliance departments, along with our two outside records consultants.  We also have another 15 or so "Records Liaisons" representing all departments at HQ and our three districts in the Gulf Coast, Southeastern US, and Northeastern US, who--while not official RMAT members, attend meetings and actively participate in discussions.  

Do they review &/or approve disposition/destruction?
No, only the office of record (plus certain other stakeholders), Legal, and myself review/approve disposition/destruction of records.  However, they do provide overall oversight to our records program, and provide valuable feedback on special records project.  For example, we're now piloting  a "big bucket" approach for our new email management program, after proposing it first to the RMAT and our leadership team.  Leadership had some tough questions, but that was softened a little by pre-approval from the RMAT first.  We're delivering it enterprise-wide next month.

Our RMAT also reviews, provides feedback to, and approves our RM goals/objectives at the beginning of each fiscal year (January-December).

Who chairs the group, sets the agenda, etc.?
As Corporate Records Manager, I chair the group and set the agenda.  We do have other [formal] roles on the RMAT too, including a sponsor, scribe, etc.

I've done several formal presentations on this topic to a number of ARMA chapters in the US and Canada recently.  Attendance was very good at them and they seemed to be well received.  I'd be glad to send you the latest version of my PowerPoint presentation on it if you like, just let me know.  Also, if you're interested, I can probably share our RMAT charter and a copy of our recent meeting minutes with you too.
